Baker to Operate All of El Paso’s GOM Platforms

Baker Energy, a unit of Michael Baker Corp., signed a majoroperation and maintenance agreement with El Paso Production Co.that covers all of El Paso’s offshore production facilities in theGulf of Mexico (GOM). El Paso Production, formerly known as SonatExploration, operates more than 50 manned and unmanned oil and gasproduction facilities throughout the GOM. The contract has anexpected annual value of $12 million.

CMS Energy Corp.’s energy marketing unit, CMS Marketing,Services and Trading (CMS-MST), announced last week the acquisitionof Viron Corp., a Kansas City, MO-based energy services company,from York International for an undisclosed sum. Viron will operateunder the name CMS Viron Energy Services, a subsidiary of CMS-MST.The deal was signed and closed last week.

NRG Energy Picks Up Louisiana Generating

Southern Energy Inc., a unit of Southern Co. is selling its 50%interest in Louisiana Generating LLC to NRG Energy Inc. LouisianaGenerating, which will now be held 100% by Minneapolis-based NRG,was recently confirmed by U.S. Bankruptcy Judge Gerald H. Schiff asthe winning bidder for bankrupt Cajun Electric Power Cooperative’s1,708 MW of fossil-fueled generation. Louisiana Generating offered$1.026 billion for the Cajun assets.

Enron Unit Buys Las Vegas Power Facility

Southwest Power LLC, an entity owned partly by Enron bought LasVegas Cogeneration LP and SUNCO Ltd. from The United Co. Las VegasCogeneration owns a 50 MW combined cycle power plant in North LasVegas. Designated as a qualifying facility under the PublicUtilities Regulatory Policy Act of 1978, the plant delivers powerunder contract to Nevada Power while SUNCO serves as the plant’sthermal host.

Unocal, Tom Brown Complete Rockies Deal

Unocal Corp.’s Spirit Energy 76 unit completed the previously announced trade of most of its Rocky Mountain oil and gas assets to Tom Brown Inc (See NGI March 15, 1999). Unocal received 5.8 million shares of Tom Brown common stock (about 16.5%) and $5 million for the properties. The deal is worth about $76 million. Subject to certain restrictions and conditions, Unocal has the option to increase its stock ownership up to 19.5% through open market purchases. The sale agreement also entitles Unocal to nominate one director to the Tom Brown board.
