Gas Transmission Northwest Wins ROFR Waiver on Remand, But Conditions Attached

FERC on remand Wednesday approved a tariff proposal for Gas Transmission Northwest Corp. (GTN) to enter into pre-arranged deals with shippers for available transportation service to start at a future date, and it granted the pipe’s request for a waiver of its right-of-first-refusal (ROFR) requirement so other shippers could use the capacity in the interim. But it wasn’t a clean sweep for GTN. FERC made significant changes.

A joint venture of Southern Union Co. and a General Electric Co. unit won the bidding war last week to acquire Enron Corp.’s prized domestic natural gas pipeline unit, CrossCountry Energy, in a transaction valued at $2.45 billion.

Enron Corp. agreed late Wednesday to sell its natural gas pipeline business, CrossCountry Energy, to a joint venture of Southern Union Co. and a General Electric Co. unit in a transaction valued at $2.45 billion. CrossCountry holds Enron’s interest in three domestic gas pipelines, and is one of its final prized assets.
