Shell Energy Services Co. LLC, which provides natural gas service to residential and commercial customers in Georgia and Ohio, said Friday it will sell nearly all of its assets to MXEnergy Inc. for an undisclosed price. The sale is expected to close in mid-2006.

Shell Energy, which was formed in 1997, said its customers would continue to receive uninterrupted gas supply service during the transition, and all contracts would be honored in full. As the closing date approaches, customers will receive a letter providing additional information.

“We have built a healthy natural gas business that started when markets were opened to competition in the late 90s,” said Shell Energy CEO Steven Murray. “The purchase agreement with MXenergy allows customers to continue to be served by a supplier with a strong reputation and allows Shell to reinvest in projects that support its business strategy of more upstream, profitable downstream.”

MXenergy, based in Stamford, CT, was founded in 1999 and currently serves more than 300,000 customers in 11 states and Ontario.
