Sempra Consolidates LNG Businesses; Pushes Ahead on 3 Projects

As part of an internal reorganization, effective Jan. 1, 2005 Sempra Energy will consolidate its liquefied natural gas (LNG) projects into one business unit and merge its international businesses with a newly designated “pipeline/storage” business unit. Meanwhile, Sempra is pushing ahead with construction of its most advanced LNG project at Costa Azul in North Baja, Mexico.

EnCana Corp. said Thursday that it intends to consolidate its corporate structure through a vertical short-form amalgamation with its subsidiary Alberta Energy Company Ltd. (AEC). EnCana said the amalgamation will not require any public securityholder vote. The company said the consolidation is expected to be effective on Jan. 1, at which time, EnCana will be the successor issuer in respect of AEC’s previously issued debt securities and will be responsible for all of AEC’s contractual obligations. The amalgamation is subject to the receipt of all necessary consents and regulatory approvals. EnCana said it would comment more after the first of the year.

Williams Confirms Houston Office May be Moved to Tulsa

Houston’s office space and unemployed energy professionals may grow if Williams Cos. decides to consolidate and move its Texas operations to its Tulsa headquarters. The company, which wants to trim at least $200 million more in costs a year, confirmed that consolidation and relocation discussions have begun, but no final decision has been announced.
