TXU of Dallas agreed to sell its majority interest in a MexicoCity gas distribution system to Gas Natural and Hidroelectrica delCantabrico for $68 million. Gas Natural will become operator whenthe deal closes, which is expected later this year.

Oneok Inc. of Tulsa, OK, agreed to sell its 42.3% interest inthe Indian Basin Gas Processing Plant and gathering system for $55million to El Paso Field Services Co. The transaction is expectedto close by the end of March.

Reliant Buying 21 Sithe Power Plants

The deal advances Houston-based Reliant’s strategy of owning generationin key U.S. regions where it can leverage its trading and marketing. Withthe Sithe PJM assets, Reliant will have total net domestic generating capacityof more than 23,000 MW operating in seven states.

As part of its portfolio rationalization effort, Texaco saidlast week that it has agreed to sell $161.1 million worth ofsouthwestern and Midcontinent properties to Bargo Energy. Theeffective date of the purchase was Jan. 1, 2000 and closing isexpected to occur late in the first quarter of this year.

Citizens Utilities agreed to sell all of its electric utilityoperations in Arizona and Vermont to Cap Rock Energy Corp. and itsKauai (Hawaii) electric division to Kauai Island Electric Co-op.The total sales price was $535 million and the transactions areexpected to close within twelve months. The operations serve atotal of 119,000 customers. Citizens’ electric utility operationsare the second group of the company’s Public Services businesses tobe sold. Citizens’ water and wastewater operations were sold inOctober 1999 for $835 million. Still to be finalized are the salesof Citizens’ gas distribution businesses. The proceeds from the allof the divestitures will be used to permanently fund Citizens’announced acquisitions of nearly one million telephone accesslines. Citizens Utilities provides telecommunications services andpublic services including gas distribution, electric distribution,water distribution and wastewater treatment services to 1.9 millioncustomers in 22 states.

Southern Might Handle Pan-Alberta Assets

Atlanta-based Southern Company Energy Marketing, the energytrading and marketing arm of the nation’s largest producer ofelectricity, agreed in principle to manage the assets ofPan-Alberta Gas Ltd., the second-largest Canadian gas exporter.

Ocean Energy, Inc. said yesterday that it has agreed to sell allof its interests and assets in its East Bay Complex for $86million. The buyer’s identity was not disclosed. The propertiesconsist of South Pass 24, South Pass 27 and South Pass 39 Fields,located in the Mississippi Delta Region of the Gulf of Mexico. Thetransaction is expected to close March 31 subject to normal andcustomary conditions. CEO James Hackett said in a statement thatthe move was made in order to high-grade Ocean’s balance sheet andgain capital so that it could accumulate higher margin inventory.

TransMontaigne Sells Bear Paw Energy

Denver-based TransMontaigne Inc. agreed to sell gas gatheringsubsidiary Bear Paw Energy Inc. to a group formed by Bear Pawmanagement along with two other partners for $107.5 million in cashand reimbursement of costs for a Powder River gathering system.
