Southern Union, Williams to Discuss $9.4B Bid

Southern Union Co. agreed Friday to discuss a revised merger bid from Williams, which Thursday offered $44/share, or a total of $9.4 billion, to acquire the natural gas operator (see Daily GPI, July 15).

Well servicing contractor Key Energy Services Inc. has agreed to acquire Edge Oilfield Services LLC and Summit Oilfield Services LLC for $300 million in stock and cash, plus reimbursement of up to $40 million of capital spending in the Eagle Ford Shale. Edge primarily rents hydraulic fracturing stack equipment. It also provides well testing services, rental equipment such as pumps and power swivels, and oilfield fishing services. Closing is expected during this quarter subject to customary conditions.

Westmont Expands Marcellus Shale Leasehold

Furthering its plans to acquire approximately 3,650 net acres of Marcellus Shale leasehold, Westmont Resources Inc. on Friday said it has signed a memorandum of understanding for the acquisition of a 252-acre oil and gas leasehold in Pennsylvania’s southwest tier.

Houston-based National Oilwell Varco Inc. and Pasadena, CA-based Ameron International Corp. said National Oilwell will acquire Ameron for $772 million cash. Ameron’s shareholders will receive $85/share. The deal is expected to close in the fourth quarter. Ameron is a producer of fiberglass-composite pipe used to transport oil, chemicals and corrosive fluids. National Oilwell designs and manufactures oil/gas drilling and production equipment. It was not disclosed what is planned for Ameron’s California headquarters or its 2,900 employees worldwide.

Encore Energy Partners LP (ENP) and its general partner, Vanguard Natural Resources LLC, each are acquiring a 50% stake in producing oil and gas assets in the Permian Basin from a private seller for a total price of $85 million.

Energy Transfer Scoops Up Southern Union for $7.9B

Energy Transfer Equity LP (ETE) agreed Thursday to acquire Houston’s Southern Union Co. (SUG) for $7.9 billion, including $4.37 billion of debt, which when combined would create one of the largest U.S. natural gas midstream operators, with more than 44,000 miles of domestic natural gas pipelines and 30.7 Bcf/d of transportation capacity.

Linn to Buy Share of Liquids-Rich Anadarko Acreage

Linn Energy LLC said Monday it plans to acquire a 40% interest in oil and gas properties from two privately held companies — Tulsa-based Panther Energy Company LLC and Perryton, TX-based Red Willow Mid-Continent LLC — as it looks to expand in the Anadarko Basin and capitalize on Panther’s expertise in horizontal drilling.

W&T Makes Permian Onshore Play

W&T Offshore Inc. has made a “transformative acquisition” to grow reserves and production by agreeing to acquire about 21,900 gross leasehold acres (21,500 net acres) for $366 million in the West Texas Permian Basin in Gaines, Dawson, Andrews and Martin counties, the company said last week.
