Merger Forms Biggest Fish in Drilling Industry Pond

Schlumberger Ltd, one of the largest oil services companies inthe world, decided Monday to spin off Sedco Forex Offshore, itsoffshore drilling company, and allow it to enter into a mergeragreement with Transocean Offshore Inc. for $3.2 billion in theresultant company’s stock. If approved by regulators, thecombination will form Transocean Sedco Forex, the largest offshoredrilling company in the world.

Hydro Spin-Down May Threaten CA Power Projects

Bold plans by Southern California Edison and Pacific Gas andElectric Co. to transfer $2 billion in hydroelectric powergeneration assets to non-utility affiliates could threaten thecompetitiveness and profitability of the state’s emerging merchantpower business if allowed by state regulators. The proposals havesparked calls for a statewide investigation by the CaliforniaPublic Utilities Commission. Potential violations of market powerand utility affiliate transaction rules are being loudly raised bya growing number of opponents.

DuPont to Spin Off Conoco by Year-End

DuPont’s board of directors approved the previously announcedinitial public offering (IPO) of Conoco common stock before the endof 1998. Following completion of the IPO, DuPont intends to offerits remaining Conoco shares to DuPont shareholders in exchange forDuPont shares in a tax-free split-off expected to be completedwithin 12 months.
