Dominion Resources Inc. on Monday said Dominion Midstream Partners LP, its affiliated master limited partnership (MLP), will acquire Questar Pipeline LLC in a $1.725 billion drop-down that is expected to close Dec. 1.

The proposed merger between Richmond, VA-based Dominion Resources Inc. and Salt Lake City, UT-based Questar Corp. came one step closer to completion Tuesday when Utah’s Public Service Commission signed off on the deal, the companies announced.

Power company Dominion Resources Inc. plans to acquire natural gas distributor and pipeline company Questar Corp. for $4.4 billion cash plus debt in a deal that continues the recent trend of electricity players acquiring natural gas local distribution companies (LDC).

Questar Corp. has received approval from Utah and Wyoming regulators to include additional natural gas properties under a long-standing agreement that enables it to produce gas at cost-of-service for its utility customers in both states.

FERC has approved a request from Questar Pipeline Co. to use streamlined procedures that would allow the company to reserve capacity for expansion projects and to sell the capacity on an interim basis without the right of first refusal (ROFR) by shippers.
