Exxon and Mobil took an important step toward completing their merger last week as shareholders for both companies approved the combination. But many industry observers viewed the votes as foregone conclusions. One source called them “glorified rubber stamps.” The real test will come during the regulatory process when the transaction undergoes strict Federal Trade Commission (FTC) and European Commission (EC) scrutiny.

Exxon and Mobil took an eagerly anticipated step towardcompleting their merger yesterday as shareholders for bothcompanies approved the combination. Mobil received 98% shareholderapproval for the deal and Exxon received 99%. The votes were heldat separate hotels in Dallas, TX.

Maryland Gov. Parris Glendening signed an electric restructuringbill and related tax measures into law last Thursday less than aweek after the Maryland General Assembly passed the legislation.The new law will phase in residential customer choice over athree-year period beginning with one-third of residential customersJuly 1, 2000. Residential customers choosing to keep their utilityas supplier would get rate cuts of 3% to 7.5% to be determined bythe Public Service Commission. The rate cuts would last four yearsand then rates would be deregulated.

The Maryland General Assembly Friday passed legislation to openthe state’s retail electric industry to competition. Gov. ParrisGlendening is expected to sign the bill into law next week. Viking Gas Transmission’s proposed expansion of its existingsystem in Minnesota would have “no significant impact” onenvironmental conditions provided the pipeline follows certainmitigation measures during construction, according to a FERC staffenvironmental assessment (EA) released last week.

The Alliance Pipeline project crossed one of its last remainingregulatory hurdles on Friday when Canada’s National Energy Boardconcluded it is not likely to cause significant adverseenvironmental effects provided 41 environmental recommendations areimplemented.

The proposed Alliance Pipeline, with the adoption of certainmitigation measures, would have “limited adverse environmentalimpact and would be an environmentally acceptable action,”according to a final environmental impact statement (FEIS) on theproject that was issued Monday.

California regulators have approved the $6.6 billion merger ofPacific Enterprises and Enova Corp., allowing the formation of acompany that will serve 21 million gas and electric consumers inSouthern California. But the merger partners did not get all theyrequested. The CPUC ruled merger savings of $174.9 million must bereturned to ratepayers and savings of $161.5 million returned toshareholders over the five years following completion of the mergerrather than over 10 years
